Background
I have a primary law degree (LLB) from Trinity College (1995) and am qualified at the New York Bar. I worked for 6 years at IONA Technologies PLC, including during its IPO in 1997. I left the company in 2001, by which time it had grown to 1200 people. At the time of leaving, I held the position of senior in-house counsel for EMEA, reporting into the General Counsel in the US. I joined Havok in 2002 and was its sole in-house legal resource, performing all of its in-house work, including all software license drafting and customer negotiations. I worked in a central role in Havok’s sale to Intel of US$110M in 2007 and also worked on a number of VC-led funding rounds up to that point. I also worked for a period for Silicon & Software Systems (S3).
Since February 2009, I have been consulting independently and have built up a client base including software, hardware and services companies in varying stages of development, from small start-ups to companies of 50+ employees. I also worked on a consultancy basis for Valista during its sale to Aepona in June 2009.
Services
I can provide in-house counsel advice in a broad scope of areas. Some examples are:
- Software license drafting and negotiation
- SAAS agreements, website terms of use, privacy statements
- Support and maintenance terms
- Professional services agreements
- Due Diligence
- Employment and contractor agreements and advice
- Share option schemes, employee handbooks
My experience and qualifications are as an in-house consultant. It is important to note that I am not a practicing solicitor in Ireland. You may require advice on matters that should only be handled by a practicing solicitor in Ireland or a licensed attorney in the US. If this is the case, I am happy to provide recommendations of firms which can provide the appropriate help.
